A clear view of how we structure, protect, and disclose. Project-specific terms are confirmed in the investor package.

  • Investments are typically structured through a Regulation D offering with a defined recoupment waterfall: senior production debt is recouped first, followed by equity investors pari passu with a negotiated premium, then a producer / talent profit split on the back end. Specific recoupment positions, corridor terms, and profit participations are confirmed per project in the investor package.

  • Each project is developed with the standard institutional safeguards expected by sophisticated film financiers: completion bond on physical production, errors & omissions insurance, verified chain of title on all underlying rights, and a distribution strategy supported by pre-sales, minimum guarantees, and recognized sales agents where applicable.

  • Film investments are illiquid. Capital is generally committed from pre-production through delivery (typically 12 to 24 months), with recoupment occurring over a subsequent 18 to 36 month window as distribution revenues are reported. There is no public market for these interests and no expectation of early liquidity.

  • Offerings are made exclusively to accredited investors as defined under Rule 501 of Regulation D. Market comps referenced throughout this site are illustrative reference points only and are not projections or guarantees of performance. Investments in independent film involve substantial risk, including the risk of total loss of invested capital. All terms are governed by the final subscription documents.

  • Qualified investors receive the full package on request: project-level budgets, detailed recoupment waterfall and profit-participation terms, distribution and sales strategy, key cast and crew commitments, comparable-title revenue analysis, and a complete risk memo with all standard disclosures.
